Terms & Conditions
The rules that keep withallo fair, safe, and working for everyone.
Please read these Terms and Conditions (“Terms”) carefully before using the withallo phone service (“withallo” or the “Service”) operated by Vazcooez LLC (“Vazcooez,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of Service
withallo is a voice and messaging communication service that provides telephone numbers, outbound and inbound calling, SMS and MMS messaging, voicemail, and related features through internet-connected devices and our applications. The Service may be updated, expanded, or modified over time. We will notify you of material changes in accordance with Section 16.
2. Eligibility
To use withallo, you must:
- Be at least 18 years old
- Have the legal capacity to enter into a binding contract
- Be located in a jurisdiction where the Service is offered
- Not be barred from receiving services under applicable law
By using the Service, you represent and warrant that you meet all eligibility requirements. Accounts used on behalf of a business entity may be created by an authorized representative of that entity.
3. Account Registration
You must create an account to use withallo. You agree to provide accurate, complete, and current information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must notify us immediately at leo@vazcooez.com if you suspect unauthorized access to your account. We are not liable for losses resulting from unauthorized use of your account when you have failed to keep your credentials secure.
We reserve the right to refuse registration, suspend, or terminate accounts at our discretion, particularly where we believe information provided is false or where these Terms have been violated.
4. Telephone Numbers
4.1 Assignment
Telephone numbers assigned to your account are licensed to you for use with the Service; they are not sold or transferred to you. Numbers remain the property of the applicable regulatory authority and are subject to reassignment in accordance with applicable telecommunications regulations.
4.2 Porting
You may request to port an eligible number into withallo. Porting timelines depend on your current carrier and are not guaranteed. You may also request to port your withallo number to another provider at any time, subject to applicable regulations and any outstanding balance on your account.
4.3 Number reclamation
If your account is suspended or terminated, or if a number is inactive for 90 consecutive days, we may release that number. We will make reasonable efforts to notify you before releasing a number.
5. Acceptable Use
You agree to use withallo only for lawful purposes. You must not use the Service to:
- Make or send unsolicited commercial messages (spam, robocalls, or unsolicited bulk SMS) in violation of the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, or any other applicable law
- Harass, threaten, stalk, abuse, or harm any person
- Impersonate any person, business, or entity, or falsify your caller ID in violation of the Truth in Caller ID Act
- Transmit material that is unlawful, defamatory, obscene, or that infringes any intellectual property right
- Conduct fraudulent activity, including unauthorized use of payment methods or identity fraud
- Attempt to gain unauthorized access to any system, network, or data
- Interfere with or disrupt the Service or its infrastructure
- Resell or resupply the Service without our written authorization
- Use the Service to facilitate drug trafficking, human trafficking, or any other criminal activity
- Violate any applicable local, state, national, or international law or regulation
We monitor for abuse and cooperate with law enforcement. Violations may result in immediate termination and referral to appropriate authorities.
6. Fees, Billing, and Payment
6.1 Pricing
Current pricing for plans, calls, messages, and features is listed in your account portal or on our pricing page. Prices are in US dollars unless stated otherwise and do not include applicable taxes and regulatory fees, which will be added to your bill.
6.2 Billing cycle
Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). Usage-based charges (overages, add-ons, international calls) are billed in arrears at the end of each billing period.
6.3 Payment
You authorize us to charge your payment method on file for all amounts due. If payment fails, we will notify you and may suspend the Service until payment is received. Accounts past due for more than 15 days may be terminated.
6.4 Taxes and regulatory fees
You are responsible for all applicable taxes, surcharges, and regulatory fees associated with your use of the Service. These charges are based on your registered service address and may vary by jurisdiction.
6.5 Refunds
Subscription fees are generally non-refundable. If we terminate your account without cause, we will refund any unused portion of a prepaid subscription period. Usage charges are non-refundable. Disputes must be raised within 30 days of the charge appearing on your statement.
7. Emergency Services (911)
withallo supports Enhanced 911 (E911) service. You must register and maintain a current physical address in your account settings. Failure to keep this address accurate may result in emergency services being dispatched to the wrong location.
Because withallo is an internet-based service, 911 calls may not function during power outages or internet service disruptions. You should maintain an alternative means to contact emergency services and inform all users of your withallo number about these limitations.
8. Service Availability
We aim to provide the Service on a continuous basis but do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to scheduled maintenance, unplanned outages, or circumstances outside our control (including internet service provider failures, natural disasters, or carrier network issues).
We will make reasonable efforts to notify you in advance of planned maintenance that will cause a significant interruption. Service credits for outages are available at our discretion and are not guaranteed.
9. Intellectual Property
The withallo name, logo, application, and all related content and technology are the property of Vazcooez LLC and are protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business purposes in accordance with these Terms.
You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our prior written consent. Feedback or suggestions you provide about the Service may be used by us without obligation to you.
10. Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you agree to the collection and use of your information as described in the Privacy Policy.
11. Third-Party Services
The Service may integrate with or link to third-party services or applications. We do not control and are not responsible for third-party services, their content, or their privacy practices. Your use of any third-party service is at your own risk and subject to that party’s terms.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VAZCOOEZ LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Vazcooez LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your violation of any applicable law or regulation.
15. Termination
15.1 By you
You may cancel your account at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period unless you request immediate termination.
15.2 By us
We may suspend or terminate your account immediately, without notice, if: (a) you violate these Terms; (b) we are required to do so by law; (c) we reasonably believe continued use poses a risk to the Service or other users; or (d) your account has been inactive for more than 12 months. We may also terminate your account with 30 days’ notice for any other reason.
15.3 Effect of termination
Upon termination, your right to use the Service ends immediately. Sections 9, 12, 13, 14, 16, and 17 survive termination. You remain responsible for all charges incurred before termination.
16. Governing Law and Dispute Resolution
16.1 Governing law
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law principles.
16.2 Informal resolution
Before filing a formal claim, you agree to contact us at leo@vazcooez.com to describe the dispute and seek informal resolution. We will attempt to resolve the dispute within 30 days of receiving your notice.
16.3 Binding arbitration
If informal resolution fails, any dispute, claim, or controversy arising from or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration will take place in Miami, Florida, or by telephone/videoconference if you prefer.
You waive any right to a jury trial and to participate in a class action lawsuit or class-wide arbitration. This class action waiver is a material part of these Terms.
16.4 Exceptions
Either party may bring an individual action in small claims court. Either party may also seek emergency injunctive relief in any court of competent jurisdiction to prevent irreparable harm.
17. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the change takes effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
If you do not agree to the updated Terms, you must stop using the Service and cancel your account before the effective date.
18. Miscellaneous
- Entire agreement: These Terms, together with the Privacy Policy and any supplemental service agreements, constitute the entire agreement between you and Vazcooez LLC regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
- No waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
- Assignment: You may not assign these Terms or any rights hereunder without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure: We are not liable for delays or failures in performance caused by events outside our reasonable control.
- Notices: Legal notices to Vazcooez LLC must be sent to leo@vazcooez.com. Notices to you will be sent to the email address on your account.
